Terms of Use
These terms govern your access to and use of Forge.
1. Agreement
These Terms of Use ("Terms") govern your access to and use of Forge, a product of Helen's Foundry Inc, a Delaware corporation ("Helen's Foundry," "we," "us," or "our"). By creating an account or using Forge, you agree to these Terms. If you are using Forge on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree, do not use Forge.
2. The Service
Forge is a strategic coherence platform for early-stage software teams. We provide tools to create, link, and interrogate strategic artifacts and to connect those artifacts to your existing development workflow.
We reserve the right to modify, suspend, or discontinue any part of Forge at any time. We will give reasonable notice of material changes where practicable.
3. Accounts
You must provide a valid email address to create an account. You are responsible for keeping your credentials secure and for all activity that occurs under your account. Notify us immediately at security@helensfoundry.com if you suspect unauthorized access.
You may not create an account on behalf of someone else without their permission, or create multiple accounts to circumvent suspension or usage limits.
4. Subscriptions and Payment
Forge is a paid service. Current pricing is published at helensfoundry.com. Prices are in USD and exclusive of applicable taxes.
Billing. Subscriptions are billed monthly or annually in advance. Payment is processed by Stripe. By providing payment information, you authorize us to charge your payment method on a recurring basis.
Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial periods except where required by applicable law.
Price changes. We will give at least 30 days' notice of any price increase. Continued use after the effective date constitutes acceptance of the new price.
Design partner rate. If you are participating in Forge's early design partner cohort under a flat-fee arrangement, the terms of that arrangement govern in the event of any conflict with this section.
5. Your Content
You retain ownership of all content you create in Forge, including artifacts, annotations, and workspace data ("Your Content").
By using Forge, you grant Helen's Foundry a limited, non-exclusive license to store, process, and display Your Content solely as necessary to provide the service to you. We do not use Your Content to train AI models without your explicit consent.
You are responsible for Your Content. You represent that you have the rights necessary to submit it and that it does not violate any applicable law or third-party rights.
6. Acceptable Use
You may not use Forge to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of others
- Transmit malware, spam, or other harmful code
- Attempt to gain unauthorized access to Forge or its underlying infrastructure
- Reverse engineer, decompile, or extract the source code of Forge
- Resell or sublicense access to Forge without our written consent
- Use Forge in any way that could damage, disable, or impair the service
We reserve the right to suspend or terminate accounts that violate these restrictions.
7. Helen and AI-Generated Content
Forge includes Helen, an AI that interrogates strategic artifacts and surfaces questions about the reasoning behind them. Helen's output is for informational and evaluative purposes only. It does not constitute legal, financial, business, or professional advice.
Helen's questions and comments are generated by AI and may be imperfect, incomplete, or inapplicable to your specific situation. You are responsible for your own decisions. Helen does not make them for you.
8. Third-Party Integrations
Forge integrates with third-party tools including Linear and the Anthropic API. Your use of those tools is governed by their respective terms of service. Helen's Foundry is not responsible for the availability, accuracy, or conduct of third-party services.
9. Intellectual Property
Helen's Foundry retains all rights to Forge, including its software, design, trademarks, and the structure and content of the service itself. Nothing in these Terms transfers any of those rights to you.
The name "Helen," the Forge product, and the Helen's Foundry name and marks are proprietary to Helen's Foundry Inc.
10. Disclaimers
Forge is provided "as is" and "as available." To the fullest extent permitted by law, Helen's Foundry disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that Forge will be uninterrupted, error-free, or free of harmful components.
11. Limitation of Liability
To the fullest extent permitted by law, Helen's Foundry's total liability to you for any claim arising from your use of Forge is limited to the amount you paid us in the 12 months preceding the claim.
In no event will Helen's Foundry be liable for indirect, incidental, consequential, punitive, or special damages, even if advised of the possibility of such damages.
Some jurisdictions do not allow these limitations; in those jurisdictions, liability is limited to the extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless Helen's Foundry and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of Forge, Your Content, or your violation of these Terms.
13. Termination
Either party may terminate at any time. We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or if we reasonably believe continued access poses a risk to the service or other users.
On termination, your right to access Forge ceases. We will retain Your Content for 30 days after termination, during which you may request an export. After 30 days, Your Content will be deleted.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
Any dispute arising from these Terms or your use of Forge will be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to a jury trial or to participate in a class action. Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property violations.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice in Forge at least 14 days before the changes take effect. Continued use after that date constitutes acceptance.
